Terms of service

01Acceptance

These terms govern the use of the octho.agency website and the services of OCTHO Agency LLC ("OCTHO," "we," "us"). By using the site, sending us your information or hiring a plan, you agree to these terms. If you hire us on behalf of a business, you confirm you are authorized to do so.

02Our services

We offer three managed service plans: Starter, Pro and Elite. The scope of each plan is described on the website and in the proposal we send you. If they differ, the signed or accepted proposal controls. Separate design projects and special integrations are quoted separately.

Information on the website is descriptive and is not a binding offer until you accept a proposal and your payment is processed.

03Pricing and payment

• One-time setup fee of $995 on any plan.
• Monthly fees: Starter $197, Pro $397 and Elite $797, in US dollars.
• Monthly fees are charged in advance each month to the payment method you provide.
• Prices do not include taxes, where applicable.
• We may change prices with at least 30 days' notice. The change applies from the next billing period.

04Setup fee refund

The $995 setup fee is refundable within the first 24 hours after payment. After that, it is non-refundable, because it covers the work of setting up your system.

05Costs billed separately

The following are not included in the setup fee or the monthly fee, and are billed separately or paid directly to the provider:

• Ad spend on Google or Meta, paid directly to those platforms. For Elite we recommend between $300 and $1,500 a month, depending on your business's goals and capacity.
• Domain registration.
• Phone, text message, email and WhatsApp usage.
• Artificial intelligence and outside software usage.
• Professional photo or video production.
• Special integrations or custom development.

We explain these costs before we start. We never turn on optional services or ad spend without your approval.

06Term and cancellation

• Starter and Pro have no minimum term. You can cancel with 30 days' written notice to [email protected].
• Elite has a 6-month minimum term, because campaigns need that time to gather data and improve. If you cancel before it ends, the remaining monthly fees to complete the 6 months are due.
• After the minimum term, Elite renews month to month and can be canceled with 30 days' written notice.
• We do not give refunds for partial months.

07Late payments

If a payment fails, we will let you know so you can update your payment method. If the payment is still outstanding 7 days after its due date, we may pause your system and automations until the balance is paid. We reactivate the service as soon as payment is received.

08Your responsibilities

• Give us accurate information and the access we need to your accounts (for example, Google, Meta and your domain).
• Review and approve designs, copy and campaigns on time.
• Hold the rights to the logos, photos and content you give us.
• Have your own customers' consent to message them, and comply with the laws that apply to you.
• Follow up with the customers the system brings you. Results also depend on your response and operating capacity.

09Use of artificial intelligence

Our services use artificial intelligence agents to handle messages, prepare content and run automations. AI can make mistakes. A person on our team oversees projects, but you are responsible for approving the final content published in your name.

Nothing our agents say is legal, tax, financial or medical advice.

10No guarantee of results

We build and run your system with care, but we do not guarantee a number of customers, sales, calls or search rankings. Results depend on factors outside our control, such as the market, competition, your budget and your ability to respond.

11Ownership and handover

Your domain, your content and your contact data belong to you. If you decide to leave, we hand over your domain, your website source code and the contact data collected on the platform, ready to use in another system, once any outstanding payments are settled.

OCTHO's templates, automations, processes and internal tools remain ours. You may use them while your service is active.

12Third-party platforms

Your system runs on third-party platforms, such as GoHighLevel, Google, Meta, Cloudflare and phone carriers, which have their own terms. We are not responsible for their outages, price or policy changes, or account blocks or suspensions they decide on. We will help you resolve them within reason.

13Text messaging program

Program: OCTHO Agency. By agreeing to receive messages on our form or by messaging us, you will receive texts and WhatsApp messages about your request, appointments, account and service.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to stop receiving messages. Reply HELP for help, or email [email protected].
• Agreeing to receive messages is not a condition of purchasing any service.
• Carriers are not liable for delayed or undelivered messages.

14Limitation of liability

To the extent permitted by law, OCTHO's total liability for any claim related to our services is limited to the amount you paid us in the 3 months before the claim. We are not liable for indirect damages, such as lost profits, customers or data.

15Indemnification

You agree to cover third-party claims arising from content you give us, messages sent to your contacts without their consent, or a breach of these terms.

16Governing law

These terms are governed by the laws of the District of Columbia, United States. Any dispute will be handled in the courts of the District of Columbia, unless the law provides otherwise.

17Changes and contact

We may update these terms. If the change is significant, we will give you at least 30 days' notice. For any questions, email us at [email protected].
